networkED.global — Terms of Use

This document is provided for general informational purposes and does not constitute legal advice. Consult your attorney for guidance tailored to your situation.
These Terms of Use (“Terms”) govern access to and use of the networkED.global platform and services (collectively, the “Service”) offered by networkED Global, Inc. (“networkED,” “we,” “us,” or “our”). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization.
If there is a conflict between these Terms and our Privacy Policy regarding the handling of personal data, the Privacy Policy controls for privacy-law purposes.
Connector only. networkED is a discovery and marketing platform for professional development events and related opportunities. We do not register attendees, do not submit anything to Event Hosts on your behalf, and are not a party to transactions between Users and Event Hosts. We do not guarantee event quality, seat availability, professional credit acceptance, outcomes, or compliance.
Host-provided contact info. Event Hosts are solely responsible for the accuracy of their listings and for any business email, phone, and URL they publish; such contact information is displayed “as provided.”
No professional advice. The Service does not provide legal, medical, financial, or other professional advice. We do not practice law or offer state-specific compliance guidance; we are a tooling and record-keeping layer.
Event data freshness. Event listings may be sourced from publicly available information and may not reflect current availability, pricing, scheduling, or status. We make reasonable efforts to keep listings current but do not guarantee that any event listing is accurate or up-to-date at the time you view it. Always confirm event details directly with the Event Host before making travel, registration, or financial commitments.
Automated processing. We use automated tools, including artificial intelligence, to process event data, classify content, match events to user profiles, and provide initial customer support responses. Where automated processing could materially affect what users see — such as content classification, event matching, or content flags — outputs are subject to human review. These tools do not make decisions that produce legal or similarly significant effects on users without human oversight. AI service providers are treated as sub-processors and listed at /legal/sub-processors.
CE Professional: an individual using the Service for continuing education tracking, credential management, or professional development discovery.
Business & Industry (BI) User: a business development, vendor, exhibitor, or sponsor user seeking professional development events, networking opportunities, or exhibit/sponsorship opportunities.
Presenter/Author (PA) User: an individual speaker, author, or presenter seeking calls for papers, abstracts, or speaking opportunities.
Event Host: an entity that lists, promotes, or manages events, exhibit/sponsorship opportunities, or calls for papers/abstracts on the Service.
Corporate Account: a master account that may bundle any mix of CE Professional seats, BI seats, PA seats, and/or Event Host listings/modules, administered by a master admin, with pricing as published on the Pricing Page. Corporate Accounts are self-serve.
Enterprise Account: a Corporate Account with additional features, integrations, service levels, or custom terms as described in a separate Enterprise Agreement. Enterprise Accounts are established through direct engagement with networkED and may include features such as single sign-on (SSO), API access, custom reporting, or dedicated account management. Where an Enterprise Agreement conflicts with these Terms, the Enterprise Agreement controls for that customer.
You must be at least 18 and able to form a binding contract. You are responsible for the security of your login credentials and for all activity under your account. You may not share login credentials with others, create automated or bot accounts, or maintain multiple accounts for the same individual without our prior written consent.
Year 1 (introductory period). For the first year from the date we first make paid plans generally available in your state or country (or as published on our Pricing Page), networkED will not collect payment or store payment cards. During this period, subscriptions do not auto-renew.
Year 2 and beyond. When (and only when) you add a payment method, paid subscriptions renew automatically by default at the then-current price unless canceled. We will provide clear, advance renewal notices (e.g., 30-day, 7-day final reminder) that state the renewal price and next charge date, and your Account → Billing page will display this information. You can cancel in a single click (Account → Billing → “Cancel subscription”), with at most one optional, skippable save-offer screen, consistent with click-to-cancel rules. We use third-party processors (e.g., Stripe or equivalent) to handle payments; we do not store full card numbers on our systems.
Prices and taxes. Prices are set out on the Pricing Page and exclude taxes unless stated. Taxes will be added where applicable.
Refunds. Except where required by law or our posted policy, all fees are non-refundable. For EU/UK consumers, mandatory cooling-off rights apply as described in Section 21; nothing in this Section overrides those rights.
Price changes. We will give at least 60 days’ advance notice for changes to Event Host listing prices. Other price changes will be noticed consistent with applicable law. Continued use after the effective date constitutes acceptance of the new pricing.
Named seats. Corporate seats are named to specific individuals. Each seat may be reassigned up to two (2) times per 12-month term. We may decline reassignment that appears abusive or fraudulent.
Co-terminus + proration. Additional seats added mid-term are prorated to align with the corporate master renewal date; removals reduce charges prospectively only.
Seat removal & conversion offer. When a user is removed from a corporate seat, we will notify the affected user, provide 30 days to download their CE records, and offer a conversion to an individual plan. If the user accepts within 30 days and adds payment, their records transfer to the new account; if not, records are deleted per Section 11.
Authorized submitters only. Event Hosts must be authorized to list events, exhibits/sponsorships, and CFP/JA items. We may require documentation of such authorization.
Photo ID verification. To combat fake or deceptive event listings, we may request an authorized person’s government-issued photo ID for identity verification. This applies only to Event Host accounts. Legal basis (EU/UK): legitimate interests (fraud prevention) and, where applicable, performance of a contract.
Retention and deletion. We store the ID image only for the minimum time needed to complete verification, and in any case aim to delete the image within 30 days. We may retain a minimal audit record (e.g., verified name, issuing country, verification timestamp) for up to 30 days thereafter, then delete it unless required by law or to resolve an open investigation. We do not create biometric templates from ID images.
You agree not to:
Your content. You retain ownership of content you submit. You grant networkED a worldwide, non-exclusive, royalty-free license to host, reproduce, display, and distribute your content as necessary to operate, secure, and improve the Service. You are responsible for maintaining your own backups of any content you upload; we are not a records custodian and do not guarantee the preservation of user content beyond the retention periods described in Section 11.
Aggregated and de-identified data. We may use aggregated and de-identified data derived from your use of the Service for analytics, product improvement, and reporting purposes, including after account deletion. Such data cannot reasonably be used to identify you.
Event Hosts. Hosts warrant they have all rights to publish their listings and related materials (including logos) and that listings are accurate and lawful. Hosts grant networkED the right to display and promote listings on and off the Service. Hosts are solely responsible for any representations about CE credit approval, accreditation status, or regulatory compliance made in their listings; CE Professionals must confirm such claims with their own boards and regulators before relying on them.
Presenters/Authors. Presenters/Authors retain ownership of their intellectual property. They grant a limited license to display their profile and content descriptions in connection with event listings and discovery to the extent they choose to participate.
networkED IP. The Service, including our software, brand, and design, is protected by IP laws. Except for the limited rights expressly granted, we reserve all rights.
Not the issuer; no guarantee. We are not the issuer or records custodian of CE/PD credits and do not guarantee acceptance by any board or regulator. Users must verify credit acceptance with their own boards and regulators.
Upload rules. Do not upload PHI or confidential client data. We may delete non-compliant documents without notice.
Download window & deletion. Upon account or seat closure (individual or corporate), users have 30 days to download CE certificates and records before deletion. After this period, personal data is deleted. We may retain aggregated, de-identified analytics and log data for security, compliance, and product improvement purposes, consistent with our Privacy Policy.
Corporate seat removal. When a corporate seat is removed, we will archive the user’s records for up to 90 days solely to facilitate an individual conversion (Section 7). If no conversion occurs within that window, records are deleted, subject to lawful retention needs.
Host listings after termination. Event listings that have been published on the Service may remain visible in archived or historical form after Host account termination, unless the Host requests removal. We will honor removal requests within a reasonable timeframe. We may also remove or restrict archived listings without Host request where required by law or in response to valid legal takedown notices (see Section 14).
Professional metadata use. For Event Host dashboards and generalized reporting, we may use the following CE Professional fields: title, profession, field, industry, credential, city, and state. We do not disclose names, personal phone numbers, or personal emails of CE Professionals in Host dashboards.
Aggregation thresholds. Host dashboards show statistics only for cohorts of ten (10) or more users to reduce re-identification risk. We may apply additional privacy techniques (e.g., rounding or suppression) where appropriate.
Privacy & cookies. Our Privacy Policy explains how we collect, use, and share data. Cookie consent and preferences are managed separately for EU/UK users through our cookie consent banner, which provides granular controls for analytics and advertising cookies. By using the Service, you acknowledge that policy.
Transactional emails. We send transactional emails that are necessary for the operation of your account, including: email verification, password resets, security alerts, renewal reminders, and account status notifications. These emails are always sent regardless of your notification preferences, as they are exempt from consent requirements under CAN-SPAM, CASL, and similar laws.
Notification preferences. During signup, you may choose which types of optional communications you wish to receive, including notifications about discounts, new events, CE deadlines, and virtual/on-demand options. You can update these preferences at any time from your profile settings. We honor unsubscribe requests promptly and in accordance with applicable law.
Marketing communications. We will only send marketing or promotional emails where you have provided express or implied consent as required by applicable law (including CASL for Canadian users, which generally requires express opt-in consent). Each such email includes a clear unsubscribe mechanism.
Report page. A “Report Content” / “Notice-and-Action” page is linked in our website footer to report allegedly illegal, infringing, or abusive content. You may also email legal@networkED.global for expedited review.
Process. We may remove or restrict content in our good-faith discretion where we believe it violates law or these Terms. We provide reasoned notices where feasible. EU/UK representative information and formal appeals channels will be posted prior to our Year 2–3 international expansion timeline.
Repeat violations. We may suspend or terminate accounts that repeatedly violate our policies or the law.
The Service may link to or integrate with third-party sites or processors. We are not responsible for third-party content, terms, or privacy practices.
Sub-processors. We use the following categories of third-party service providers to operate the Service: cloud infrastructure and database hosting, email delivery services, web hosting and deployment, content processing and classification tools, and payment processing. A current list of sub-processors is available at /legal/sub-processors and may be updated from time to time. We will provide notice of material changes to our sub-processor list.
From time to time, we may offer features labeled as “beta,” “preview,” or “experimental.” Such features are provided without any warranty or support commitment and may be changed, suspended, or discontinued at any time without notice. Your use of beta features is at your own risk, and we may collect additional usage data to improve these features.
We maintain reasonable administrative, technical, and physical security measures designed to protect the confidentiality, integrity, and availability of your data. We will notify you of data incidents affecting your personal data as required by applicable law.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL NETWORKED BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, COVER, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (I) US $250 OR (II) THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.
These limitations do not apply where prohibited by law, including liability for gross negligence, fraud, willful misconduct, or death or personal injury caused by negligence where such limitation is not permitted.
You may stop using the Service at any time. We may suspend or terminate your access (with reasonable notice when feasible) if you violate these Terms or we reasonably believe your use poses risk. We may also modify or discontinue features, modules, or portions of the Service with reasonable notice and without liability, without obligation to maintain every feature indefinitely. Sections that by nature should survive (e.g., IP, disclaimers, limits, dispute resolution) will survive termination.
US arbitration (AAA). For US users, any dispute arising under or relating to these Terms will be resolved by binding arbitration administered by the American Arbitration Association (AAA), before a single arbitrator. For individual consumers, the AAA Consumer Arbitration Rules apply; for business entities (including Corporate and Enterprise Accounts), the AAA Commercial Arbitration Rules apply. In the event of a conflict between the applicable AAA rules and these Terms on procedural matters, the AAA rules prevail. The arbitration will take place in the county of the user’s residence (for consumers) or Kent County, Michigan (for businesses). Each party bears its own attorneys’ fees; AAA filing and administration fees are governed by the applicable AAA fee schedule. Class actions are waived. Either party may seek injunctive relief for IP or security misuse in court. Small claims court matters may proceed there. AAA may decline to administer any arbitration that does not meet its due-process protocol.
Opt-out (30 days). You may opt out of arbitration by sending written notice to legal@networkED.global within 30 days of first acceptance of these Terms. Your notice must include your name, email address associated with your account, and a clear statement that you are opting out of arbitration. Email is sufficient.
Governing law; venue (US). These Terms are governed by the laws of the State of Michigan, excluding its conflict of laws rules. Subject to arbitration, the exclusive venue is the state or federal courts in Kent County, Michigan, and you consent to their jurisdiction.
EU/UK consumers. Mandatory local consumer rights (including 14-day right of withdrawal for consumer subscriptions) apply to the extent mandatory law provides, despite any other provision in these Terms. If you request immediate access to digital content not supplied on a tangible medium before the withdrawal period ends, you acknowledge that your right of withdrawal may be lost to the extent permitted by law. Nothing in this Section limits non-waivable consumer rights.
Other jurisdictions. For users outside the United States, European Union, and United Kingdom, these Terms are governed by the laws of the State of Michigan, and disputes will be resolved in Michigan courts, except where local mandatory law provides otherwise.
We are committed to making the Service accessible to users with disabilities. We strive to conform to Web Content Accessibility Guidelines (WCAG) 2.1 Level AA on a reasonable-efforts basis and welcome feedback on accessibility at support@networkED.global. Some third-party content displayed on the Service (such as Event Host listings and external links) may not fully conform to accessibility standards and is outside our direct control.
We may update the Service and these Terms. Material changes will be notified in-product or by email. Your continued use after the effective date constitutes acceptance. If you do not agree, you must stop using the Service and, if applicable, cancel recurring subscriptions before the change takes effect.
Legal basis references (examples). Identity verification and fraud prevention: legitimate interests; contract performance. Marketing: consent where required by law. Analytics/ads cookies: consent with granular toggles. Automated processing: legitimate interests; where decisions produce legal effects, human review is available upon request.
Data subject rights: access, rectification, erasure, restriction, portability, and objection per GDPR/UK GDPR.
